SHADE ALL-NATURAL SUNSCREEN — TRADE TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the relationship between Not the Norm Ltd (“Supplier,” “we,” “us,” or “our”) and trade customers (“Reseller,” “you,” or “your”) who purchase Shade All-Natural Sunscreen products (“Products”) for resale.

By placing an order for our Products, you agree to be bound by these Terms.

1. Eligibility and Approval

1.1. Resellers must apply through our Trade Application Form and be approved by us before placing trade orders.
1.2. We reserve the right to reject or terminate reseller status at any time at our sole discretion.

2. Ordering and Payment

2.1. Minimum order quantities and pricing will be provided upon approval.
2.2. Orders must be placed via email or our online portal.
2.3. Payment terms are upfront, unless otherwise agreed in writing.
2.4. Prices are subject to change without notice.

3. Shipping and Delivery

3.1. Shipping costs are £4.99 up to 2kg, FREE over 2kg.
3.2. Delivery timelines are estimates and not guaranteed. We are not liable for delays outside our control.
3.3. Risk of loss passes to the Reseller upon dispatch.

4. Returns and Damages

4.1. Damaged or defective goods must be reported within 7 days of receipt with photographic evidence.
4.2. Returns are accepted only with prior authorisation and under conditions we specify.
4.3. We are not responsible for Products damaged in your storage or by improper handling.

5. Resale Terms

5.1. Reseller may only sell Products through approved retail channels or platforms.
5.2. Online resale (e.g., Amazon, eBay, or other third-party marketplaces) is prohibited without our prior written consent.
5.3. Products must be sold in their original packaging and not rebranded, altered, or tampered with in any way.

6. Pricing and MAP Policy

6.1. Resellers must adhere to our Minimum Advertised Price (MAP) policy where applicable.
6.2. Violation of MAP policy may result in termination of your reseller status.

7. Branding and Marketing

7.1. All marketing materials must represent Shade All-Natural Sunscreen products accurately and may not make unverified claims.
7.2. You may use our brand assets only as permitted and in accordance with our brand guidelines which are available in the assets folder you will be granted access to.

8. Legal Compliance

8.1. Reseller is responsible for complying with all applicable laws, regulations, and tax obligations related to the resale of our Products.
8.2. You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your resale activities.

9. Termination

9.1. Either party may terminate the trade relationship with 30 days’ written notice.
9.2. We may terminate immediately for cause, including breach of these Terms, misuse of brand, or violation of applicable laws.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim related to these Terms or the Products shall not exceed the purchase price paid for the relevant order.

11. General

11.1. These Terms are governed by the laws of the United Kingdom.
11.2. Any disputes shall be resolved in the courts of the United Kingdom.
11.3. These Terms constitute the entire agreement between the parties and supersede all prior communications.
